Gojitech API Documentation – End User License Agreement (EULA)

1. Acceptance of Terms

By accessing or using Gojitech's API documentation, developer tools, sample code, or related materials ("Documentation"), you agree to be bound by this End User License Agreement ("Agreement").

If you do not agree to these terms, do not access or use the Documentation.

2. License Grant

Goji Technology Systems Inc. ("Gojitech") grants you a limited, non-exclusive, non-transferable, revocable license to:

• Access and use the Documentation solely to develop, test, and integrate applications or systems with Gojitech's API(s).
• Reproduce limited portions of the Documentation internally for reference by your development or integration team.

3. Restrictions

You may not:

• Copy, modify, distribute, or publish any part of the Documentation except as expressly permitted.
• Use the Documentation or API to create, support, or promote competing products or services.
• Reverse engineer, disassemble, or attempt to derive source code from Gojitech's software, APIs, or systems.
• Share, sublicense, or resell access to the Documentation or API without Gojitech's prior written consent.

4. Ownership

All rights, title, and interest in the Documentation, APIs, trademarks, and related materials remain the exclusive property of Gojitech Technology Systems Inc.

This Agreement does not transfer any intellectual property rights to you.

5. Confidentiality

Any non-public information you receive through the Documentation or API is considered confidential.

You agree not to disclose or share such information with any third party without Gojitech's written consent.

6. Updates and Changes

Gojitech may update or modify the Documentation, API, or this Agreement at any time without prior notice.

Continued use of the Documentation following any updates constitutes your acceptance of the new terms.

7. Termination

Gojitech may suspend or terminate your access to the Documentation at any time, with or without cause.

Upon termination, you must immediately cease using all Documentation and delete all copies in your possession.

8. Disclaimer of Warranties

The Documentation is provided "as is" and "as available."

Gojitech makes no warranties, express or implied, including merchantability, fitness for a particular purpose, or non-infringement.

9. Limitation of Liability

To the maximum extent permitted by Canadian law, Gojitech will not be liable for any indirect, incidental, special, or consequential damages arising from your use of the Documentation or API, even if advised of the possibility of such damages.

10. Governing Law

This Agreement is governed by the laws of the Province of Ontario and the federal laws of Canada applicable therein.

You agree to submit to the exclusive jurisdiction of the courts of Ontario.
